NODECONNECT SOFTWARE LICENSE AGREEMENT Copyright (c) 2024 NODECONNECT. All rights reserved. This Software License Agreement ("License") is a legal agreement between you (either an individual or a single entity) ("Licensee") and NODECONNECT ("Licensor") for the use of any software products ("Software") developed or distributed by NODECONNECT. 1. GRANT OF LICENSE 1.1. Subject to the terms and conditions of this License, NODECONNECT grants you a non-exclusive, non-transferable license to: a) Deploy and use the Software on authorized platforms b) Use the Software for its intended purpose as specified in the documentation c) Process and analyze data within your designated environment 1.2. This License does not grant you any rights to: a) Copy, modify, or distribute the Software b) Reverse engineer or decompile the Software c) Remove or modify any proprietary notices d) Transfer your license to another party e) Use the Software outside its designated platform or environment f) Create derivative works based on the Software g) Sublicense, rent, or lease the Software 2. OWNERSHIP AND INTELLECTUAL PROPERTY 2.1. All Software products are licensed, not sold. NODECONNECT retains all rights, title, and interest in and to the Software, including all intellectual property rights. 2.2. The Software is protected by copyright laws and international treaty provisions. 2.3. You own all data and results generated through your use of the Software. 3. CONFIDENTIALITY 3.1. The Software contains proprietary trade secrets of NODECONNECT. You agree to maintain the confidentiality of the Software and not disclose any part of it to third parties without NODECONNECT's prior written consent. 4. TERM AND TERMINATION 4.1. This License is effective until terminated. 4.2. Your rights under this License will terminate automatically without notice if you fail to comply with any of its terms. 4.3. Upon termination, you must: a) Stop using all NODECONNECT Software b) Remove all installations c) Destroy any copies 5. DISCLAIMER OF WARRANTIES 5.1. THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 6. LIMITATION OF LIABILITY 6.1. IN NO EVENT SHALL NODECONNECT BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE. 6.2. NODECONNECT'S MAXIMUM LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SPECIFIC SOFTWARE LICENSE. 7. EXPORT COMPLIANCE 7.1. You agree to comply with all applicable export laws and regulations. 7.2. You will not export the Software to any country or person prohibited by applicable laws. 8. GOVERNING LAW 8.1. This License shall be governed by the laws of India, without regard to conflicts of law principles. 8.2. Any disputes shall be resolved in the courts of Maharashtra, India. 9. SEVERABILITY 9.1. If any provision of this License is found to be unenforceable, the remainder shall continue in full force and effect. 10. ENTIRE AGREEMENT 10.1. This License constitutes the entire agreement between you and NODECONNECT regarding the Software and supersedes all prior agreements. 11.
